Otherwise known as
EarthWalk Spiritual Center

| ARTICLE I |
|
NAME AND OFFICE |
|
Section 1
|
The name of this unincorporated association shall be EarthWalk Spiritual Center
|
|
Section 2 |
The office of EarthWalk Spiritual Center shall be 2225 Burns, Detroit,
Michigan 48214.
|
| ARTICLE II |
|
PURPOSES |
|
Section 1 |
The specific and primary purpose of this unincorporated association is to be a spiritual center dedicated to the vision, transformation, integration, and expansion of our human expression into the essence and truth of our unique being through love, healing, service and community. |
|
Section 2 |
The general purposes and powers are any activities, which will provide the necessary, funds an skills to accomplish the purposes set forth above. |
| ARTICLE III |

Section 1 |
Organization, establishment, and maintenance of a Spiritual Center which will offer healing, teaching, spiritual guidance, inspiration, worship, counseling and community service to individuals seeking personal transformation, healing, and growth |
|
Section 2 |
The Spiritual Center will provide all forms of spiritual ministry including but not limited to divine healing, solemnizing marriages, officiating at funerals, dedications, and rites of life passages. |
|
Section 3 |
The Spiritual Center will be a model for community development and the connection of diverse individuals and spiritual paths in a common vision for community. |
|
Section 4 |
The Spiritual Center will offer individuals the opportunity to find their unique relationship to the Divine though their own personal experience, knowing and love. |
|
Section 5 |
The Spiritual Center will provide teaching in the fields of esoteric, shamanic, energetic and alternative healing modalities along with opportunities to practice and assist in healing rituals and ceremonies. |
| ARTICLE IV |
|

|
Section 1 |
Except as otherwise provided by statute or by the Articles of this Unincorporated Association these by-laws shall govern and regulate the affairs of the Church of Tzaddi Charter #479 otherwise known as the EarthWalk Spiritual Center.

| ARTICLE V |
|
DUTIES OF OFFICERS |
|
Section 1 |
Chair: The Chair shall preside at all meetings of the EarthWalk Wisdom Council and shall call special meeting when she/he shall deem necessary or desirable. She/he shall be an ex officio member of all committees and perform all other such duties as pertain to her/his office.

Section 2 |
Secretary: The Secretary shall take minutes of all meetings of the Wisdom Council and keep them in his/her custody. He/she shall send notice of all meetings and other notices as required. |
|
Section 4 |
Treasurer: The Treasurer shall have charge of all of the funds of the Church of Tzaddi Charter #479 under the direction of the Wisdom Council, and deposit all monies in a chosen bank to pay bills against the Association. He/she shall keep records of all financial transaction and bank balances. All checks or warrants on the funds of the Association shall be signed by either the Chair or Treasurer. The Treasurer shall issue to the members of the Council a quarterly financial statement and at the close of the fiscal year shall present to the Board the annual financial statement. He/she shall also prepare any Federal, State reports or any other financial statements or reports as required |
| ARTICLE VI |

RESPONSIBILITES OF OFFICERS |

Section 1 |
Agreement is made by the Wisdom Council to conduct and meet all obligations as needed and be responsible for all debts incurred and oversee all activities together as "ONE".

Section 2 |
The Wisdom Council shall regulate and fix the compensations paid by the Association and may appoint an administrator or put anyone in charge of activities as needed. Such persons so selected shall have no authority to contract bills against the Association without the consent of the Wisdom Council. |
| ARTICLE VII |
|
|
|
|
Members may join the Association without obligation except as a free will offering and by offering their services, as they so desire. Any member giving a free will offering or offering services shall be given a receipt for such offering. |
| ARTICLE VIII |
|
WISDOM COUNCIL |
|
Section 1 |
Wisdom Council: The Board of Directors will also be known as the Wisdom Council and will be the governing body for the Spiritual Center. All decisions made by the Wisdom Council will be by consensus and in accordance with the materials contained within the EarthWalk Wisdom Council Manual. The Officers of the Board will have the power to veto and return for reconsideration any matter they deem appropriate.

Section 2 |
Quorum: A simple majority of the Wisdom Council shall constitute a quorum for the transaction of any business at any regular or special meeting of the Board |
| ARTICLE IX |
|
PROHIBITED ACTIVITY |
|
|
Neither this Association nor the members of the Wisdom Council in their capacity as officers of this Association shall be engaged in carrying on propaganda otherwise advocating or opposing pending or proposed legislation or election or any public official, either Federal, State, or Local
